These Terms of Service (“Terms”) govern your use of uClip (the “Service”), operated by [OPERATOR / LEGAL NAME] (“we”, “us”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What uClip is
uClip is a web application for creating short videos: you provide a video (by uploading a file or by giving us a link to fetch), mark clips, and we render a finished file (for example, reframed vertically and captioned). The Service is provided on a best-effort basis and runs on limited, self-hosted infrastructure.
2. Eligibility & accounts
- You must be at least [13/18] years old, or the minimum age of digital consent where you live, and legally able to accept these Terms.
- You may use the Service anonymously or create an account with an email and password. You are responsible for your account and for keeping your credentials safe.
- You are responsible for all activity that occurs under your session or account.
3. Your content and your responsibilities
You keep all ownership of the videos, images, audio and other material you upload or ask us to fetch (“Your Content”). You are solely responsible for Your Content, including any content the Service retrieves from a link you provide. By using the Service, you represent and warrant that:
- you own Your Content or have all rights, licences and permissions necessary to use it and to have us process it;
- when you provide a link, you have the right to download and use the content at that URL, and doing so does not violate any law, third-party right, or the terms of the site hosting it;
- Your Content does not infringe any copyright, trademark, privacy, publicity or other right, and is not illegal.
4. Acceptable use
You agree not to use the Service to:
- infringe intellectual-property rights or process content you do not have the right to use;
- create, store or distribute unlawful, infringing, harmful, or abusive material;
- violate the rights or privacy of others;
- circumvent limits, disrupt, overload, or attempt to gain unauthorised access to the Service or its infrastructure;
- break any applicable law in the regions you or your audience are in.
5. Copyright & takedown
We respect intellectual-property rights and expect you to do the same. If you believe content processed through the Service infringes your rights, contact us at [COPYRIGHT/CONTACT EMAIL] with: your contact details, identification of the work, the material at issue, and a statement of good-faith belief. We may remove content and may suspend or terminate accounts of repeat infringers.
6. Licence you grant us
Solely to operate and provide the Service, you grant us a limited, non-exclusive licence to store, process, transcode, transcribe and transmit Your Content — for example, to render your clips and generate captions. This licence exists only to run the Service and ends when Your Content is deleted, subject to our retention periods. We do not sell Your Content and do not use it to train models.
7. Pro subscriptions & payments (Bitcoin)
- The Service has a free tier and an optional paid tier (“Pro”). Pro is sold as prepaid access for a fixed period (e.g. monthly, 6-month, annual) and does not auto-renew; access ends when the period ends unless you pay again.
- Pro is paid in Bitcoin. Access may be enabled when your payment is first seen on the network and may be revoked if the transaction is not confirmed within approximately two hours.
- Because payments are made in Bitcoin (which are irreversible) and access is digital and provided immediately, payments are non-refundable except where a refund is required by applicable law.
- Prices, tiers and limits may change; changes apply to future purchases.
- Partner codes may grant access at our discretion. They are personal, may be limited or time-bound, and may be revoked if the associated arrangement ends or if misused.
8. Availability, storage & “as is”
The Service runs on a single, self-hosted machine and may be slow, queued, or temporarily unavailable. Rendered files and projects are stored for a limited time (for example, roughly 7 days on Free and 90 days on Pro) and may be deleted after that. Download and keep your own copies of anything important. We are not a backup service.
9. Disclaimers & limitation of liability
The Service is provided “as is” and “as available”, without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that stored files will be preserved. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or for lost content, revenue or data; and our total liability for any claim will not exceed the greater of the amount you paid us in the past [3/6/12] months or [USD 20].
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or costs arising out of Your Content, your use of the Service, or your breach of these Terms — including claims that Your Content or your use infringes a third party’s rights.
11. Suspension & termination
We may suspend or terminate access at any time, including for violations of these Terms or the acceptable-use rules. You may stop using the Service at any time and may request deletion of your account and content (see the Privacy Policy).
12. Changes to these Terms
We may update these Terms. Material changes will be reflected by updating the date above. Continued use after changes means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of [JURISDICTION / COUNTRY], without regard to conflict-of-laws rules. Disputes will be subject to the courts of [VENUE], unless applicable law grants you rights in your place of residence.
